Partner Program Terms

These Partner Program Terms (this agreement) are between you (the partner) and Audit Workshop, operated by AssureUp Pty Ltd (we, us, our), and govern your participation in the Audit Workshop Partner Program (the program). It sits alongside our Terms & Conditions and Privacy Policy. By joining the program you agree to these terms. If you do not agree, do not join.

1. Eligibility and Joining

Any registered Audit Workshop user may apply to join. Participation is at our discretion and we may decline or remove any applicant or partner at any time. To take part you must accept this agreement, which includes the promotion and anti spam rules below. Once you join you receive a unique referral link to promote Audit Workshop courses.

2. Commission

You earn a commission on the amount a referred buyer actually pays for a qualifying course, calculated per purchase. Your commission rate is tiered by your number of qualifying sales and the current tiers and rates are shown in your partner dashboard. We may add, change or remove tiers and rates, and may set, change or waive a rate for an individual partner or course, at our discretion. Any change applies only to sales made after the change; commission you have already earned is not affected. A sale is qualifying only if it is a genuine, paid, non refunded purchase attributed to you under section 4 and is not otherwise excluded by this agreement. We may exclude particular courses, offers or transactions from earning commission.

3. Attribution

Credit for a referral is tracked through your unique referral link. When a visitor clicks your link, that credit is stored for 90 days from the last click. If the same buyer clicks another partner link more recently, that other partner is credited instead. Referrals must come through your link; simply naming a partner does not earn commission. We may, at our discretion, credit or decline to credit a sale where tracking is incomplete or disputed.

4. How and When You Are Paid
  • Your earnings are tracked in USD.

  • Commission clears after a 30 day window that covers refunds, and only cleared commission is payable.

  • You need 5 cleared sales before you can request a payout. After that, you may request a payout each time you reach 5 cleared sales.

  • What we owe you is the USD amount shown as your cleared balance. We pay it manually by bank transfer through Wise, using the bank details you provide at payout.

  • Where your account is not in USD, Wise converts that USD amount at its own rate at the time of transfer. That rate is set by Wise, not by us, and we do not guarantee any particular amount in your local currency.

  • You are responsible for the accuracy of the bank details you provide, and you bear any bank, transfer or currency conversion fees.

  • We may withhold, delay or set off a payout where we reasonably suspect fraud, a breach of this agreement, or an error in the amount owed.

  • Unclaimed balances may be forfeited if your account is inactive for a prolonged period, to the extent permitted by law.

5. Prohibited Conduct
  • Promote honestly and only in ways permitted by this agreement and applicable law.

  • No self referral, and no buying through your own link or arranging purchases in order to earn commission.

  • No spam of any kind, and comply with all applicable anti spam, advertising, consumer and privacy laws.

  • No false, misleading or deceptive claims about Audit Workshop, its courses, pricing, outcomes or the program.

  • No bidding on our brand or trademarks in paid advertising, and no use of our name in a domain, account or app name.

  • No cookie stuffing, forced clicks, incentivised clicks, malware, or any artificial or automated inflation of clicks or sales.

  • No promotion on sites or channels that are illegal, infringing, or contain hateful, adult or otherwise objectionable content.

  • No implying partnership, endorsement, employment or agency beyond your role as an independent partner.

6. Fraud, Reversals and Clawback

A refunded, charged back, fraudulent, cancelled or otherwise reversed sale reverses its commission. If commission has already been paid on such a sale, or was paid in error or in breach of this agreement, you must repay it on request, and we may deduct it from current or future balances. We may investigate suspected fraud or breach and withhold payment while we do so. On termination for breach, any unpaid balance is forfeited.

7. Our Determinations

We operate the tracking, calculate commissions, and decide questions of eligibility, attribution and qualifying sales. Our records and reasonable determinations on these matters are final, absent manifest error.

8. Independent Partner

You take part as an independent contractor. Nothing in this agreement creates an employment, agency, partnership or joint venture relationship. You have no authority to bind us, incur liabilities on our behalf, or make representations for us. You are responsible for your own costs, staff and equipment.

9. Use of Our Brand and Materials

We grant you a limited, non exclusive, revocable licence to use our name, logo and marketing materials solely to promote Audit Workshop courses under this agreement, following any guidelines we provide. You gain no ownership of our intellectual property, you may not modify our materials or brand, and this licence ends when your participation ends. All goodwill from your use benefits us. Where we provide course details or links for you to display, for example through our partner feed, you may show them on your own channels to promote our courses, provided you keep pricing and availability accurate and current and do not present them in a misleading way.

10. Confidentiality

Any non public information we share with you about the program, our business or our customers is confidential. You must keep it confidential, use it only to take part in the program, and not disclose it without our consent.

11. No Warranty and No Guarantee of Earnings

The program is provided as is. We do not guarantee any level of clicks, sales or earnings, or that the program, tracking or links will be uninterrupted or error free. To the maximum extent permitted by law we exclude all warranties not expressly stated here. Nothing in this agreement excludes rights that cannot be excluded under the Australian Consumer Law.

12. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for lost profits or lost opportunity, arising from the program. Our total liability to you for any claim connected with the program is limited to the total commission paid to you in the 3 months before the event giving rise to the claim.

13. Indemnity

You indemnify us against any claim, loss, cost or expense we suffer arising from your breach of this agreement, your promotion activities, or your breach of any law or third party right.

14. Tax

You are responsible for your own tax obligations on any commission you receive. Commission is inclusive of any taxes unless we agree otherwise in writing, and you must give us any information we reasonably need to meet our own tax and reporting obligations.

15. Your Data

We store the bank details you provide at payout and use them only to pay you. Our handling of personal information is described in our Privacy Policy.

16. Suspension and Termination

Either party may end participation at any time, for any reason, on notice. We may suspend or terminate your participation immediately, and withhold or forfeit unpaid commission, if we reasonably believe you have breached this agreement or engaged in fraud or unlawful conduct. On termination your referral link stops earning and the licence in section 9 ends. Sections that by their nature should survive termination continue to apply.

17. Changes to these Terms

We may update this agreement from time to time. We will post the updated version with a new date, and material changes take effect when posted or on any later date we state. Your continued participation after a change means you accept it.

18. General

You may not assign or transfer this agreement without our consent; we may assign it. If any term is unenforceable, the rest continues in force. A delay in enforcing a term is not a waiver of it. This agreement, with the documents it refers to, is the entire agreement between us about the program. Neither party is liable for failure to perform due to events beyond its reasonable control. Notices to you may be sent to the email on your account.

19. Governing Law

This agreement is governed by the laws of New South Wales, Australia, and both parties submit to the non exclusive jurisdiction of the courts of that state.
